INTRODUCTION SUMMARY 

Welcome to SupplyBidder, Inc.! SupplyBidder, Inc. (“SupplyBidder”, the “Company,” “we,” “us,” or “our”) serves Contractors, Suppliers, Manufacturers and Site Visitors (also, and at times collectively, referred to as “Users” or “you”) through our website at  (the “Website”) and our mobile applications and related services (collectively, such services, including any new features and applications, and the Website, the “Services”). We recognize that your privacy is very important and we take it seriously. This Privacy and Cookie Policy describes our policies and procedures regarding the collection, use, and disclosure of your information when you use the Services and explains your privacy rights. 

By using the Services, you consent to our use of your information in accordance with this Privacy and Cookie Policy. 

We will not use or share your personal information with anyone except as described in this Privacy and Cookie Policies. Capitalized terms that are not defined in this Privacy and Cookie Policy have the meaning given to them in our Terms of Service.  Both documents collectively form a binding agreement between you and us. 

WHAT INFORMATION WE COLLECT 

When you interact through the Services, we may collect information directly from you, automatically through your use of our Services, and from third parties. We may combine all of information we collect about you from these various sources.  This includes documents and communication shared via the application, email and website. 

Whether you are a Site Visitor, Contractor, Manufacturer or Supplier, there will be occasions that may enable us to identify you and things about you (“User Data”) while using the Services as outlined below: 

Personal Data: We collect Personal Data from you when you voluntarily provide such information, such as when you contact us with inquiries, interact with the Services, register for access to the Services, upload a photo, import contacts from your address book or use certain Services. Personal Data is any piece of information that identifies you as a natural person, including first name, maiden name, last name, or similar identifier. 

Business Contact Data: If you are a Business and you opt to provide information about your business, we will collect and store that information, which may include, Business name, Operating Company Name, Form W-9, work address, location addresses, billing address, email address, and telephone numbers. 

Project Data: If you engage with the Services as a Contractor, Manufacturer or Supplier in seeking/sharing information regarding products/projects, rebate processing, creating or using templates, seeking supplies for a Project, to bid on a Project, submit a bid, invoice or order acknowledgement, and/or enter into a Purchase Order, we collect and store the information you provide us through that process, which may include, Project name and address; Supplier name and address; Contractor name and address; certain Project Details, including segment, products and pricing; comments that could include specific supplier contact information; and terms and conditions.  Contractors authorize Suppliers to provide SupplyBidder with project invoices on Contractor’s behalf from time to time for any purpose.       

Content Data: Any content you post to the Services not already included in another category, including, but not limited to, your profiles, logos, photos, questions, products, product descriptions, catalogs, preference settings, answers, messages, comments, direct conversations between you and other users via the Services Chat Functionality (a feature that enables commenting and communicating between Users), and other contributions on the Services, and metadata about them (such as when you posted them). 

We may also collect Personal Information and Business Data from Users of the Services and/or the Website who seek to invite new Users to use our Services through manual input or importing of contacts. Prior to using our invitation feature to invite new Users and thus provide us Personal Information and/or Business Data about other individuals/businesses, you confirm that you have all necessary consents under applicable law to share or otherwise disclose to us the Personal Information and/or Business Data of any and all potential new users. 

Account Information: Username and password of your choice in the event you chose to set up an Account with us. This may also include an email that you have provided to us to allow or otherwise direct communications to you via the Services. 

Financial Data: If you register for an Account, our third-party payment processor, Stripe, will collect and store bank account and/or payment card details. 

Non-Identifiable Data: If you interact with the Services, we collect and store certain personally non-identifiable information about you and/or use your interaction with Website and Services. Such information, which is collected passively using various technologies, including cookies and similar tracking technologies, cannot presently be used to specifically identify you. We may store such information itself or such information may be included in databases owned and maintained by our affiliates, agents or service providers. The Services may use such information and pool it with other information to track, for example, the total number of visitors to our Website, the number of visitors to each page of our Site, and the domain names of our visitors’ Internet service providers. It is important to note that no Personal Data is available or used in this process. 

Aggregated Data: In an ongoing effort to better understand our Users of the Services, we often conduct research on our User demographics, interests and behavior based on the Personal Data and other information provided to us, including information available via Project Data or Content Data. We may also collect, use, and share “Aggregated Data” such as statistical or demographic data for any purpose. Aggregated Data may be derived from your Personal Data, but once in aggregated form it will not constitute personally identifying information for the purposes of applicable privacy laws as this data does not directly or indirectly identify you as an individual, natural person. However, if we combine or connect Aggregated Data with your Personal Data so that it can directly or indirectly identify you, we treat the combined data as Personal Data in accordance with this Privacy and Cookie Policy. 

Location Data: Our Services (and third parties that are integrated into our Service) may collect and use your location information (for example, by using the GPS on your mobile device) to provide certain functionality of our Services. We may also use your location information in an aggregate way, as described above in the “Aggregated Data” section. 

Tracking and Analytics Data: We may allow third party service providers to use cookies or similar technologies to collect information about your browsing activities over time and across different websites following your use of the Services. 

Marketing and Communications Data: If a User corresponds with us by email or messaging through the Services, we may retain the content of such messages and our responses. 

Please note that we retain full ownership rights to any information we collect about you to the extent allowed by law. 

WHY WE COLLECT AND HOW WE USE YOUR INFORMATION 

We use your User Data in a manner that is consistent with this Privacy and Cookie Policy, though much depends on which Services you use, how you use those Services, and the choices you make in your settings. We may use your information for purposes such as performing, tailoring and improving the Services, communicating with Users, suggesting connections or potential auto-connections, supporting User Accounts, rebate processing, potential marketing, and complying with applicable law and potential legal requirements. For example, if you contact us by email, we will use that information to correspond with you with respect to the issue you emailed us about. As another example, if you provide Personal Data to obtain access to the Services, we will use your Personal Data to provide you access to such Services and to monitor your use of our Services. We may also use your User Data to help us improve the content and functionality of the Services, to better understand our users and to improve the Services. We and our third-party partners, subsidiaries and affiliates (the “Related Companies”) may also use your Personal Data and other personally non-identifiable information collected through the Services to help us improve the content and functionality of the Services, to better understand our users, and to improve the Services. 

HOW WE SHARE YOUR USER INFORMATION 

There are certain circumstances in which we may share your User Data, including your Personal Data, with certain third parties without further notice to you, as set forth below: 

Sharing by You: Certain functions offered via the Service, including Chat Functionality are social by their very nature, so your participation in such function will allow others to see information you choose to communicate. 

  

Sharing among and/or between Contractors, Manufacturers, and Suppliers: We may share certain Project Data, Personal Data and Business Contact Data between Contractors, Manufacturers and Suppliers in order to facilitate the bid process, purchase orders, connections, registration, process rebates at your request and communicate with you. 

Partners, Agents, and Related Third Parties: Like many businesses, we may hire or otherwise work with other companies to perform certain functions, such as mailing/communications, advertising, maintain databases, providing rebate opportunities to you, compiling analytics, processing financial transactions, etc. When we hire or otherwise work with another entity to perform a function of this nature, we only provide them with the information they need to perform their specific function. Unless we tell you differently or you consent otherwise, our partners / sponsors do not have any right to use your User Data, beyond what is necessary to market services, communicate to you, and/or otherwise perform their specific function. If you choose to take advantage of our rebate programs, in order to facilitate that process, we may provide the manufacturer offering the product rebate with certain Project Data you would have provided us during the intake process. Please note, however, that other than you choosing to participate in our rebate programs with your paid Monthy Membership and us sharing your information to the manufacturer in order to make that happen, that we do not and will not sell, rent or lease your Personal Data or Business Contact Data to our partners or sponsors. Specifically, we may work with third parties such as Google Analytics for analytics and Stripe for payment processing. Because they are performing their own collection, use, and sharing of your User Data, you should review their applicable polices, as set forth below:

Company Affiliates: Subject to applicable laws, we may share your User Data with our Affiliates, and will require such affiliated or related companies to use the User Data solely in accordance with this Privacy and Cookie Policy. 

Business Transfers: We may choose to buy or sell assets. In these types of transactions, User Data is typically one of the business assets that would be transferred. Also, if we (or our assets) are acquired or merged, or if we go out of business, enter bankruptcy, or go through some other change of control, User Data would be one of the assets transferred to or acquired by a third party. 

Legal Requirements / Protection of Us and Others: We reserve the right to access, read, preserve, and disclose any User Data that we reasonably believe is necessary to comply with law or court order; enforce or apply our conditions of use and other agreements; or protect the rights, property, interests, or safety of us, our employees, our users, or others. This includes exchanging information with other companies and organizations for fraud protection and credit risk reduction. 

Aggregated and Anonymized Information: We also may share (within our affiliated entities or with third parties) Aggregated Data and/or Non-Identifiable Data that does not explicitly identify you or any individual user of our Services. From time to time, the Company may provide demographic and statistical information to partners or prospective partners for the purposes of securing advertising and/or for general promotion of the Service. This disclosure will not share any personal information of Customers but is intended to give a broad overview of the Services’ user base. 

HOW WE USE COOKIES AND OTHER TRACKING OR PROFILING TECHNOLOGIES AND HOW YOU CAN MANAGE THEM 

Your use of the Services allows us to automatically collect and log certain information about visits to the Website and your use of the Services, such as the number and frequency of visitors, technical information about browsers and devices used to access the Website or Services, and information about crashes or other technical issues. In addition, we and third parties may automatically collect certain information through automated means about your activities over time across the Website as well as across third-party websites, apps or other media. The tools that collect this information vary depending on what you do on the Website and what Services you access, and include technologies such as cookies, web beacons, tags, scripts, pixels, local shared objects (including HTML5 cookies) and software development kits (“SDKs”). These technologies may be included in our web pages, mobile apps, emails, and other digital content, and include the following: 

Cookies. When you use the Services, we may place small files, called “cookies” onto your computer. Web beacons or other similar technologies may be used for a number of purposes, such as to count visitors to the Site, or to count how many particular articles or links posted on the Website were actually viewed. 

Mobile Device Identifiers. Certain mobile service providers uniquely identify mobile devices and we, our partners or our third party service providers, may receive such device information if you access the Services through a mobile device. Certain features on the Website may require collection of mobile phone numbers and we may associate that phone number to mobile device identification information. Additionally, some mobile service providers operate systems that pinpoint the physical location of devices that use their services. Depending on the provider, we, our partners or our third party service providers, may receive this information. The Services may use cookies and other technologies that work in conjunction with cookies (such as SDKs, pixels, tags, or web beacons) to collect and store the information we automatically collect about our users’ device and use of the Services. 

LSOs. We may also use local storage objects (“LSOs”) to store your website preferences and to personalize your visit. LSOs are different from browser cookies because of the amount and type of data stored. Typically, you cannot control, delete or disable the acceptance of LSOs through your web browser. We may use applications, servers and other technology provided by third-party companies, such as Google Analytics, to help us improve our Services, performance and user experiences. These entities may use cookies and information-gathering tools, such as web beacons or LSOs, to perform their services. 

While specific types of cookies and technologies may change from time to time as we improve and update the Services, cookies that may be used by the Services generally fall into the categories below: 

Essential Cookies: Essential cookies (First Party Cookies) are sometimes called “strictly necessary” as without them we cannot provide many services that you need on the Website. For example, essential cookies help remember your preferences as you move around the Website. 

Analytics: These cookies track information about visits to the Website so that we can make improvements and report our performance. For example: analyze visitor and user behavior so as to provide more relevant content or suggest certain activities. They collect information about how visitors use the Site, which Site the user came from, the number of each user’s visits and how long a user stays on the Site. They may subsequently use information about your visit to target you with advertising that you may be interested in, on the Site and other websites. Browser Controls: You can set or amend your web browser controls to accept or refuse cookies. Mobile Advertising: You can opt out of having your mobile advertising identifiers used for certain types of Interest Based Advertising, including those that may be performed by us, by accessing the settings in your Apple or Android mobile device and following the most recent published instructions through the Digital Advertising Alliance’s YourAdChoices. If you opt out, we will remove all data about you and no further data collection or tracking will occur. The random ID we (or our third party partners) had previously assigned to you will also be removed. As part of our Services, we may recommend for your consideration various special offers, services, products, merchandise and other marketing or promotional communications. EXCLUSIONS 

This Privacy and Cookie Policy does not apply to any Personal Data collected by us other than Personal Data collected through the Services. This Privacy and Cookie Policy shall not apply to any unsolicited information you provide to us through the Services or through any other means. This includes, but is not limited to, information posted to any public areas of the Services, such as forums, any ideas for new products or modifications to existing products, and other unsolicited submissions (collectively, “Unsolicited Information”). All Unsolicited Information shall be deemed to be non-confidential and we shall be free to reproduce, use, disclose, and distribute such Unsolicited Information to others without limitation or attribution. 

CHILDREN 

We do not knowingly collect Personal Data from children under the age of 13. If you are under the age of 13, please do not submit any Personal Data through the Services. We encourage parents and legal guardians to monitor their children’s Internet usage and to help enforce our Privacy Policy by instructing their children never to provide Personal Data on the Services without their permission. If you have reason to believe that a child under the age of 13 has provided Personal Data to us through the Services, please contact us, and we will endeavor to delete that information from our databases.

THE SECURITY OF YOUR INFORMATION 

The security of your User Data is important to us. We maintain reasonable security measures, including administrative, technical, and physical safeguards, to protect your Information from loss, theft, misuse, and unauthorized access, disclosure, alteration, and destruction. We are not liable for loss of passwords due to user negligence. If you believe your password has been lost or compromised, we recommend that you immediately change your password. 

Accounts created are protected by a password for your privacy and security. You must prevent unauthorized access to your account and Information by selecting and protecting your password and/or other sign-on mechanism appropriately. To help protect your Information, you should not share your account information or password, reuse your password on other sites, or use a password you have used on other sites. 

We endeavor to protect the privacy of your account and other Information we hold in our records, but we cannot guarantee complete security. Unauthorized entry or use, hardware or software failure, and other factors, may compromise the security of user information at any time. 

WHERE YOUR INFORMATION WILL BE HELD 

The Service is hosted on US servers. The data that we collect from you may be transferred to, and stored at, a destination outside the US and may also be processed by staff operating outside the US who work for us or for one of our processors. Such staff may be engaged in, among other things, hosting or maintaining our Website, the processing of your payment details and the provision of support Services. Any Information you provide to us will be processed and stored on servers in the US, the laws of which may be deemed by other countries to have inadequate data protection. It may also be processed by any service providers appointed by us who operate outside of the US and their staff. The CAN-SPAM sets the rules for commercial email, establishes requirements for commercial messages, and gives recipients the right to have emails stopped from being sent to them. 

If, at any time, you would like to unsubscribe from receiving future emails, you can email us at  and we will promptly remove you from email communications. 

HOW LONG WE RETAIN YOUR INFORMATION 

We generally retain your Information as long as reasonably necessary to provide you the Services or to comply with applicable law. However, even after you deactivate your account, we can retain copies of User Information and Aggregated Data about you and any transactions or Services in which you may have participated for a period of time that is consistent with applicable law, applicable statute of limitations or as we believe is reasonably necessary to comply with applicable law, regulation, legal process, or governmental request, to detect or prevent fraud, to collect fees owed, to resolve disputes, to address problems with our Services, to assist with investigations, to enforce our Terms of Service or other applicable agreements or policies, or to take any other actions consistent with applicable law. 

Information you have shared with others (e.g. through comments or other posts) will remain visible after you close your account or delete the information from your own account, and we do not control data that other users copied out of our Services. 

CHANGES TO THIS PRIVACY POLICY 

We may modify this Privacy and Cookie Policy and our Terms of Service from time to time. If we make material changes to it, we will provide you notice through the Service, the Website, via email or by other means, to provide you the opportunity to review the changes before they become effective. You shall be responsible for reviewing and becoming familiar with any such modifications. We agree that changes cannot be retroactive. If you object to any changes, you may close your account or discontinue use of the Services. DO NOT TRACK 

Do Not Track is a privacy preference that users can set in their web browsers. Some Internet browsers - like Internet Explorer, Firefox, and Safari - include the ability to transmit “Do Not Track” or “DNT” signals. When a user turns on the Do Not Track signal, the browser sends a message to websites requesting them not to track the user. Since uniform standards for “DNT” signals have not been adopted, we do not currently process or respond to “DNT” signals. We may deploy cookies and other technologies on our Service to collect information about you and your browsing activity, even if you have turned on the Do Not Track signal. 

CALIFORNIA PRIVACY RIGHTS AND DO NOT TRACK 

If you are a California resident, you may request certain information regarding our disclosure of your Information to third parties for their direct marketing purposes during the prior calendar year under California’s “Shine the Light” law (Cal. Civ. Code § 1798.83). You may make one (1) request per calendar year. In your request, please affirm that you are a California resident and provide a current California address for your response. California Do Not Track Disclosure: Do Not Track is a privacy preference that users can set in their web browsers. When a user turns on the Do Not Track signal, the browser sends a message to websites requesting them not to track the user. At this time, we do not respond to Web browser “do not track” settings or signals. As described in our Cookie Policy, we deploy cookies and other technologies on our Service to collect information about you and your browsing activity, even if you have turned on the Do Not Track signal. 

NEVADA PRIVACY RIGHTS 

You have to opt out of the sale of your information. As set forth above, the only information we exchange for any monetary benefit is in connection with you choosing to participate in our rebate programs where we provide information we collect about the project and may provide it to the manufacturer providing the product rebate, which SupplyBidder pays to you. This might constitute a “sale” under applicable Nevada state law, we wanted to inform you that you do have the right to request that we refrain from this sale. However, if you do, you will not be able to participate in the rebate programs and will not receive rebates. Should you submit a request to us by emailing us at privacy@supplybidder.com and titling the subject “Do Not Sell”. We will respond to verified requests within 60 days, with an additional 30 days extension if reasonably necessary. 

LEGAL DISCLOSURES 

It is possible that we will need to disclose information about you when required by law, subpoena, or other legal process or if we have a good faith belief that disclosure is reasonably necessary to (1) investigate, prevent, or take action regarding suspected or actual illegal activities or to assist government enforcement agencies; (2) enforce our agreements with you, (3) investigate and defend ourselves against any third-party claims or allegations, (4) protect the security or integrity of our Service (such as by sharing with companies facing similar threats); or (5) exercise or protect the rights and safety of the Company, our users, personnel, or others. We attempt to notify users about legal demands for their personal data when appropriate in our judgment, unless prohibited by law or court order or when the request is an emergency. We may dispute such demands when we believe, in our discretion, that the requests are overbroad, vague or lack proper authority, but we do not promise to challenge every demand.
